Basic Information
Registered Capital Requirement
2. If the registered capital is small (e.g. 5,000 PLN), it can be paid in cash (the company director signs a declaration to prove that the cash has been received), so there is no need to open a capital verification account. If the registered capital is large, a capital verification account needs to be opened.
- Registered Capital must be paid before incorporation.
- TKEG Expat helps clients register Estonian OU company with an initial registered capital of 1 EUR. After incorporation, the registered capital can be increased.
Memo
- The registration of a Cyprus company does not mandate the appointment of a local nominee secretary or nominee director. We can proceed with the incorporation even if no one is based in Cyprus (however, the company may encounter practical issues during subsequent operations, including but not limited to unsuccessful bank account openings and ineligibility to benefit from the 12.5% low corporate tax rate).

- The Cyprus government does not impose any nationality or identity restrictions on foreigners registering a Cyprus company and does not require EU residency as a nominee director.
- A company secretary who is a resident of Cyprus is required.
- Open an online bank account (E-Bank);
- Contract a nominee director to complete the physical bank account opening process.
However, the registration of a SAS company requires a capital verification, which makes the pre-registration process more cumbersome, whereas the registration of a SARL company does not.
However, the French tax office levies an annual social security tax on shareholders holding 51% or more of the shares of a SARL company (see above for a description of the types of SARL companies and how to avoid paying the social security tax), whereas a SAS company is not subject to the social security tax even if there is only one shareholder holding the shares of the company.
